OFFICIAL RULES FOR PURCHASING POWER REFER AND EARN SWEEPSTAKES

1. Sweepstakes Period. NO PURCHASE OR REFERRAL NECESSARY TO ENTER OR WIN. A PURCHASE OR REFERRAL WILL NOT INCREASE YOUR CHANCES OF WINNING. This Purchasing Power, LLC (“Sponsor”) Refer and Earn Sweepstakes (“Sweepstakes”) begins June 15, 2008 and ends on, and all entries must be received by, July 15, 2008 at midnight EST (the “Sweepstakes Period”).

2. How to Enter. To enter, go to www.purchasingpower.com/referandearn and complete and submit the online registration for a Purchasing Power Referral ID Number. Individuals who have previously registered prior to the Sweepstakes Period for a Referral ID Number will automatically be entered in the Sweepstakes. If you do not have access to online registration, you may request a Sweepstakes entry postcard by calling 1-888-923-0735. Entry is limited to one entry per individual entrant/registrant and multiple entries of any type by or on behalf of an entrant will be disregarded and/or disqualified. Sponsor is not responsible for lost, late, incomplete, illegible, damaged, garbled or misdirected entries, for any reason, or for any computer, hardware, software, network, incompatibility, online, telephone or technical malfunctions that may occur. Entries using macro or any other forms of automatic, programmed or robotic online or mail-in entry will be disqualified. Entry material/data that has been tampered with or altered is void. Entries will be declared made by the authorized account holder of the e-mail address submitted at the time of entry. “Authorized Account Holder” is defined as a natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, education institution, governmental or nonprofit organization, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. All entries become the exclusive property of Sponsor.

3. Prize. One (1) Prize (“Prize”) will be awarded to the Sweepstakes winner. The Prize is a Nintendo - Wii. The approximate retail value of the Prize is $249.99. The Prize will be shipped to the address provided by the winner at the cost of Sponsor. Any taxes on the Prize are the responsibility of the winner. No Prize transfer, substitution or cash equivalent is permitted.

4. Drawing. The winner will be determined by a random computerized drawing to be conducted by Sponsor on or around July 16, 2008. The odds of winning depend upon the number of eligible entry registrations made during the Sweepstakes Period as well as the Referral ID registrations made prior to the Sweepstakes Period, which will constitute automatic entries. Winner will be notified by e-mail, telephone or overnight delivery service, at the discretion of Sponsor. You do not have to be present to win. If the Prize is not acknowledged and accepted for later delivery by confirmation in writing or by e-mail and received by Sponsor within 14 days of the date of communication of the Prize notification, it will be deemed forfeited and awarded to an alternate winner.

5. Eligibility. Sweepstakes is open to individuals 18 years of age or older at the time of entry who are legal residents of the 50 United States, the District of Columbia and Puerto Rico. Void where prohibited by law. All entries are subject to verification and qualification by Sponsor. All decisions of Sponsor with regard to verification, qualification and otherwise related to the conduct of the Sweepstakes shall be final in all respects. Employees and immediate family members of employees of Sponsor, its subsidiaries, parent company, affiliates and agencies are not eligible to participate or win. Only bona fide, legitimate and good faith entries qualify. The winner must execute and return to Sponsor an Affidavit of Eligibility, Release of Sponsor from Liability and Publicity Release (where permitted by law) within 14 days of the date of the Prize notification communication or else the Prize is forfeited and will be awarded to an alternate winner.

6. General. By acceptance of the Prize, the winner agrees to release, discharge and hold harmless Sponsor, its parent, affiliates, subsidiaries, agents or employees from any claim of damages or liability in

connection with the acceptance and use of the Prize. The Prize is subject to its manufacturer’s standard limited warranty regarding same and Sponsor makes no express or implied warranty with respect to the Prize. Sponsor is not responsible for any inability of the winner to accept or use the Prize for any reason. By entering and/or accepting the Prize, entrant agrees to (a) the official rules and decisions of Sponsor regarding the Sweepstakes which shall be final in all respects and (b), where permitted by applicable law, to the use of the winner’s name and/or likeness and publicity for advertising and promotional purposes without compensation. Sponsor reserves the right to cancel or make changes to these rules by an authorized representative. Sponsor is not responsible or liable for any printing, mechanical or typographical errors in these Official Rules, its Website or any other materials associated with this Sweepstakes. Sponsor reserves the right to modify, suspend or terminate this Sweepstakes in the event that it becomes infected by a computer virus or is otherwise technically impaired or tampered with which, in the discretion of Sponsor, corrupts the administration, security or proper functioning of the Sweepstakes. In the event of such termination, a random drawing will be held from among all eligible entries received at the time of such termination. Neither Sponsor nor its respective agencies or affiliates are responsible for ineligible entries. The captions of these Official Rules are for convenience of reference only and shall not be deemed to alter, affect or limit the scope of any Paragraph to which they refer.
